1. Agreement Overview
These Terms of Service (“Terms”) govern your access to and use of the BindBase commercial lines quoting platform (“Platform”), operated by PCFG Insurance Services LLC (“PCFG,” “we,” “us,” or “our”). By creating an account or accessing the Platform, you (“Subscriber” or “you”) agree to be bound by these Terms in their entirety.
If you do not agree to these Terms, you may not access or use the Platform.
2. Platform Description
BindBase provides licensed insurance agents and agencies with access to commercial lines quoting tools, carrier market access, and related insurance technology services. The Platform operates as a white-labeled interface built on infrastructure provided by third-party partners, including but not limited to Coverforce.
The Platform offers two subscription tiers:
Market Access Tier: Subscribers quote commercial lines using PCFG carrier codes and appointments. All bound business under this tier is placed through PCFG Insurance Services LLC as the licensed agency of record.
Pro Tier: Subscribers with their own carrier appointments access the Platform to facilitate quoting through their own codes. PCFG does not serve as agency of record for business placed under Subscriber’s own appointments.
3. Eligibility
To use the Platform, you must:
- (a)Hold a valid property and casualty insurance producer license in each state where you conduct business, in compliance with applicable state insurance codes including Wyoming Statutes Title 26;
- (b)Maintain all required errors and omissions (E&O) insurance coverage;
- (c)Comply with all applicable federal, state, and local laws governing insurance solicitation, placement, and servicing;
- (d)Be at least 18 years of age and authorized to enter into binding contracts under Wyoming law.
PCFG reserves the right to verify licensure and E&O status at any time. Access may be suspended or terminated if eligibility requirements are not maintained.
4. Subscription, Fees, and Payment
4.1 Subscription Plans. Platform access is offered on a monthly subscription basis. Current plan details and pricing are outlined in the BindBase Pricing Schedule, which is incorporated herein by reference.
4.2 Billing. Subscriptions are billed monthly in advance. Payment is due on the same day each month as the original subscription start date.
4.3 Auto-Renewal. Subscriptions automatically renew monthly unless cancelled at least 5 business days prior to the renewal date.
4.4 No Refunds. All subscription fees are non-refundable. No credits or refunds are issued for partial months, unused features, or early cancellation.
4.5 Price Changes. PCFG may adjust subscription pricing with 30 days written notice. Continued use after the effective date constitutes acceptance of the new pricing.
5. Acceptable Use
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You may not:
- (a)Use the Platform to solicit, quote, or bind insurance in any state where you are not properly licensed;
- (b)Share login credentials, resell, sublicense, or transfer Platform access to any third party;
- (c)Attempt to reverse engineer, decompile, or extract proprietary elements of the Platform;
- (d)Use the Platform to engage in fraudulent, deceptive, or misleading insurance practices in violation of Wyoming Statutes § 26-13-101 et seq. or equivalent statutes in other applicable states;
- (e)Circumvent or manipulate carrier quoting systems or submissions;
- (f)Upload malicious code, scripts, or content that interferes with Platform operations.
6. Market Access Tier — Additional Terms
Subscribers on the Market Access Tier acknowledge and agree to the following:
- (a)All business placed through PCFG codes is subject to PCFG’s carrier appointment terms and conditions;
- (b)PCFG retains the right to decline to bind, endorse, or service any risk at its sole discretion;
- (c)Commission splits, if applicable, are governed by the separate Usage Agreement executed between the parties;
- (d)Subscriber remains responsible for the accuracy of all submissions and client-provided information;
- (e)E&O coverage requirements under Section 3 remain fully applicable to all client interactions.
7. Pro Tier — Additional Terms
Subscribers on the Pro Tier acknowledge and agree to the following:
- (a)PCFG provides quoting technology access only and does not serve as agency of record;
- (b)Subscriber is solely responsible for all carrier relationships, appointments, compliance obligations, and policy servicing;
- (c)PCFG makes no representations regarding carrier availability, appetite, or binding authority under Subscriber’s own appointments;
- (d)Any misuse of Platform quoting tools in connection with Subscriber’s appointments may result in immediate termination of access.
8. Intellectual Property
All Platform content, technology, branding, workflows, and underlying infrastructure are the intellectual property of PCFG Insurance Services LLC or its licensors. Nothing in these Terms grants you any ownership interest in the Platform or its components.
You retain ownership of client data and submissions entered through the Platform. By using the Platform, you grant PCFG a limited license to process such data solely for the purpose of delivering Platform services.
9. Data Privacy and Security
PCFG collects and processes subscriber and client data in accordance with its Privacy Policy, which is incorporated herein by reference. You are responsible for obtaining all necessary consents from your clients prior to entering their information into the Platform, consistent with applicable Wyoming and federal privacy law.
You agree to maintain appropriate security practices to prevent unauthorized access to your Platform account. Notify PCFG immediately at support@pcfginsurance.com if you suspect unauthorized access.

12. Indemnification
You agree to indemnify, defend, and hold harmless PCFG Insurance Services LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any client claim arising from your insurance activities.
13. Termination
13.1 By Subscriber. You may cancel your subscription at any time through your account portal or by providing written notice to PCFG. Cancellation takes effect at the end of the current billing period.
13.2 By PCFG. PCFG may suspend or terminate your access immediately for: (a) violation of these Terms; (b) failure to maintain licensure or E&O requirements; (c) fraudulent or deceptive conduct; or (d) non-payment of fees.
13.3 Effect of Termination. Upon termination, your right to access the Platform ceases immediately. Sections 8, 10, 11, 12, and 15 survive termination.
14. Modifications to Terms
PCFG reserves the right to modify these Terms at any time. Material changes will be communicated via email or Platform notification with at least 14 days notice. Continued use after the effective date constitutes acceptance of the modified Terms.
15. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. The parties expressly consent to the exclusive jurisdiction of the state and federal courts located in Laramie County, Wyoming for any dispute arising under these Terms.
Any dispute shall first be submitted to good-faith mediation conducted in Cheyenne, Wyoming. If mediation fails to resolve the dispute within 60 days, the parties agree to binding arbitration under the rules of the American Arbitration Association, conducted in Cheyenne, Wyoming. Judgment on any arbitration award may be entered in any court of competent jurisdiction.
Nothing in this section prevents either party from seeking emergency injunctive relief from a court of competent jurisdiction in Wyoming to prevent irreparable harm pending resolution of a dispute.
16. Wyoming-Specific Provisions
16.1 Insurance Regulatory Compliance. All insurance activities facilitated through the Platform must comply with Wyoming Statutes Title 26 (Insurance Code) and the rules and regulations of the Wyoming Department of Insurance, as well as the insurance laws of any other state in which Subscriber conducts business.
16.2 Unfair Trade Practices. Subscriber agrees to comply with Wyoming Statutes § 26-13-101 through § 26-13-124 (Unfair Trade Practices and Frauds) in all activities conducted through or in connection with the Platform.
16.3 Severability. If any provision of these Terms is held invalid or unenforceable under Wyoming law, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
17. Entire Agreement
These Terms, together with the Usage Agreement and any applicable Pricing Schedule, constitute the entire agreement between you and PCFG with respect to the Platform and supersede all prior agreements, representations, and understandings of any kind.
